TERMS AND CONDITIONS OF ROMANSA FLOWERS W.L.L.

These Terms and Conditions, together with any policies expressly incorporated herein (collectively, the “Terms”), govern your use of the website and any potential mobile applications (iOS and Android) operated by Romansa Flower Co W.L.L. (“Romansa Flowers”, “we”, “us”, or “our”) (collectively, the “Platforms”), as well as all products and services offered through the Platforms (the “Products”). By creating an account, placing an Order, or accessing the Platforms, you agree to be bound by these Terms. If you do not accept these Terms, you must not use the Platforms or make any purchases.

Use of the Platforms is limited to individuals who are at least 18 years old and have full legal capacity under the laws of the Kingdom of Bahrain. These Terms also apply to all sales, distribution channels, or promotional methods operated by Romansa Flowers, whether online or offline, including mobile apps, telephone orders, catalogs, social media, or retail outlets.

Romansa Flowers may update, modify, or replace these Terms at its discretion. Your continued use of the Platforms constitutes acceptance of any revised Terms. If you disagree with any updates, you may continue using the Platforms under the previous Terms, though certain features may no longer be accessible.

These Terms operate in conjunction with applicable laws in Bahrain, including those regulating e-commerce, consumer protection, electronic transactions, and data privacy. Any provision that conflicts with mandatory Bahraini law shall be overridden by such law.

OUR IDENTITY AND SCOPE OF THIS AGREEMENT

For Orders delivered within Bahrain, the contractual relationship is established exclusively between you and Romansa Flower Co W.L.L., a company incorporated and operating in Bahrain under Commercial Registration No. 134795-1. This ensures that Romansa Flowers is the responsible entity for all transactions relating to your Orders.

YOUR ACCOUNT

Your access to the Platforms is contingent upon your agreement to comply with these Terms. You are responsible for maintaining the confidentiality of your account credentials, including passwords, and for all activity conducted through your account. Any individual using your account is deemed to act on your behalf, and you are liable for any Orders placed or actions taken under your account.

You must notify Romansa Flowers immediately if you suspect unauthorized use of your account. Sharing or disclosing your login information is strictly prohibited.

PLACEMENT AND CONFIRMATION OF ORDERS

After selecting Products, you may place your Order via the “Checkout” process. Please carefully review all details before confirming your Order. Once submitted, Orders cannot be amended. You will receive a confirmation via email once your Order is accepted.

Payment must be completed in full for Orders to be confirmed. If payment is declined, your Order will not be processed. You remain responsible for payment of Products and applicable delivery fees, even if placing an Order on behalf of a third party.

ALLERGY WARNING

Our Products, including but not limited to foods, beverages, flowers, cosmetics, and other items, may contain allergens not listed in product descriptions.

Customers with known allergies should exercise caution. Individuals with severe allergies should refrain from ordering. By placing an Order, you acknowledge that our Products may cause allergic reactions, and Romansa Flowers shall not be liable for any allergic response experienced by you or any third party.

PRODUCT DELIVERY

Products will be delivered only to the address provided. If no alternative delivery address is provided, the Product cannot be delivered elsewhere. You assume full responsibility for providing accurate delivery details. Any delivery orders placed after 6:00 PM shall be scheduled for delivery on the next day.

LOSS OR DAMAGE TO PROPERTY

1. Romansa Flowers does not provide cargo, transit, or all-risk insurance for any Product or item being shipped or delivered.

2. Any stated or declared value of a Product shall not be construed as creating or implying any liability on the part of Romansa Flowers in connection with its collection, shipment, or delivery, including, without limitation, loss, damage, delay, incorrect delivery, refusal by the recipient, or the customer’s failure to provide accurate information.

3. All risk of loss or damage, including any loss exceeding a declared value, is borne solely by the customer.

4. Romansa Flowers reserves the right, at its sole discretion, to refuse the collection or delivery of any Product or item that is considered hazardous, unsafe, unlawful, or unsuitable for transport.

5. Customers release, indemnify, and hold harmless Romansa Flowers, its employees, officers, and affiliates from and against all claims and liabilities to the fullest extent permitted by law, except where such liability arises from gross negligence or willful misconduct. In such circumstances, the total liability of Romansa Flowers shall be limited to an amount equal to five (5) times the charges paid for the relevant Product or service.

USERNAME AND PASSWORD

Access to the Platform is provided through a personal account created using an email address and a password selected by the user. Each username is unique and may not be duplicated or assigned to more than one user. Your password is personal to you and must be kept strictly confidential at all times. You may change your password at any time, and you are solely responsible for selecting and maintaining its security.

You agree that all information you provide to us is true, accurate, current, and complete, and that you will promptly update your details if any changes occur. You further agree not to impersonate any other person or entity, or to use a name that you are not authorized to use.

You are fully responsible for all activities conducted through your account, whether authorized by you or not. Romansa Flowers shall not be liable for any loss, damage, or issues arising from the misuse of your username or password, or from your failure to maintain the confidentiality of your login credentials. If you believe that any unauthorized access or activity has occurred in relation to your account, you must immediately change your password and notify Romansa Flowers without delay.

To access our services, you must enter your username and password, a process referred to as “login,” which creates or activates your account upon checkout.

By using the Platform, you consent to receive service-related communications and promotional messages from Romansa Flowers, including notifications of offers that may be relevant to you. Romansa Flowers does not sell, rent, or disclose your personal information to third parties without your consent, except where required by applicable laws and regulations in the Kingdom of Bahrain.

You agree not to use the Platform for any unlawful or unauthorized purpose, including but not limited to:

• Publishing, transmitting, or distributing any content that is unlawful, abusive, threatening, harmful, obscene, or otherwise objectionable, or that may constitute a criminal offense or give rise to civil liability under applicable law.

• Interfering with, disrupting, or preventing any other user’s access to or enjoyment of the Platform.

• Attempting to damage, disable, overburden, or impair the Platform, or to gain unauthorized access to any part of the Platform or its connected systems through hacking, spoofing, or similar means.

Any breach of this section may result in suspension or termination of your account, without prejudice to any other rights or remedies available to Romansa Flowers under applicable law.

USER CONDUCT

Except for personal data governed by our Privacy Policy, any content, material, or information you submit, upload, transmit, or post on or through the Platform shall be treated as non-confidential and non-proprietary. By providing such content, you grant Romansa Flowers the unrestricted right to use, reproduce, modify, disclose, distribute, and incorporate it, in whole or in part, for any lawful commercial or non-commercial purpose, without further notice or compensation to you.

You agree that you will use the Platform in a lawful, responsible, and ethical manner and in full compliance with all applicable laws and regulations in the Kingdom of Bahrain. You must not post, upload, transmit, or otherwise make available any content that:

• Violates any applicable local, national, or international law or regulation.

• Is unlawful, deceptive, fraudulent, or misleading.

• Constitutes unauthorized advertising, solicitation, or promotional material.

• Contains viruses, malware, or any other harmful or disruptive code or programs.

• Is defamatory, obscene, offensive, or otherwise objectionable.

• Promotes violence, hatred, discrimination, or any conduct that is illegal or unethical.

• Infringes the intellectual property, privacy, or other rights of any third party.

• Breaches any legal duty owed to another party, including duties of confidentiality.

• Invades the privacy of others or promotes illegal activity.

• Creates the false impression that such content originates from, is endorsed by, or is affiliated with Romansa Flowers.

• Is used to impersonate any person or to misrepresent your identity or affiliation.

You must not misuse the Platform in any manner, including attempting to gain unauthorized access, engaging in hacking, data scraping, or otherwise interfering with the proper operation, security, or availability of the Platform or any connected systems.

This list is non-exhaustive. Any breach of this section may result in immediate suspension or termination of your account, without prejudice to any other rights or remedies available to Romansa Flowers under applicable law. You agree to indemnify and hold Romansa Flowers harmless from any losses, damages, costs, or expenses incurred as a result of your violation of this section.

Romansa Flowers reserves the right to cooperate fully with any competent authority, law enforcement body, or court order requiring the disclosure of the identity or location of any person who is suspected of posting or transmitting material in breach of these terms.

CLOSURE OF ACCOUNT

Romansa Flowers may suspend or terminate access to the Platforms without notice for any conduct deemed in violation of these Terms or applicable laws. We are not liable for service unavailability or modifications to the Platforms.

INTELLECTUAL PROPERTY

All content on the Platforms, including text, images, designs, code, and trademarks, is owned or licensed by Romansa Flowers. Content is provided for personal, non-commercial use only. Unauthorized reproduction, distribution, modification, or commercial use is prohibited.

GENERAL LIMITATION OF LIABILITY

Liability for Products is limited to the purchase price. Romansa Flowers is not liable for business losses, loss of profit, or damages caused by use of the Platforms. The Platforms are provided “as is” without warranties.

INDEMNIFICATION

You agree to indemnify Romansa Flowers, its officers, employees, and affiliates against claims, damages, or costs arising from your violation of these Terms or misuse of the Platforms.

REFUND, CANCELLATION, AND RETURN POLICY

• Refunds: Customers may request a refund or credit for issues with Products, subject to inspection and eligibility.

• Cancellations: Orders may be canceled up to 24 hours before delivery. Products already in preparation may not be canceled.

• Rescheduling: Orders may be rescheduled up to 10 days prior to preparation or within 48 hours if already prepared. Certain edible or brand-specific items are excluded.

• Returns: Eligible returns must be made within 48 hours of delivery in original, unused, and undamaged condition. Some items, including flowers and edible products, are excluded from returns.

DATA PRIVACY

Romansa Flowers collects and processes personal data in accordance with its Privacy Policy. Personal information is used to process Orders, improve services, and comply with legal obligations. Data collection may include identity, contact, financial, technical, usage, and marketing information.

GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the country of delivery. All disputes relating to Orders or use of the Platforms are subject to the exclusive jurisdiction of the competent courts in that country.

CIRCUMSTANCES OUTSIDE OUR CONTROL

Romansa Flowers is not liable for failure or delay due to events beyond its control, including natural disasters, strikes, pandemics, or government actions. Customers may cancel affected Orders or accept delays in performance.

SEVERABILITY

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.

PERMISSION AND LICENSE

Users may view and print content from the Platforms for personal, non-commercial purposes only, provided copyright and proprietary notices remain intact. Unauthorized commercial use, scraping, or redistribution is prohibited.

CONTRIBUTIONS

By submitting content to the Platforms, you grant Romansa Flowers a worldwide, royalty-free license to use, reproduce, modify, and distribute the content in connection with the Platforms and their promotion. Romansa Flowers may edit or remove submissions at its discretion.

DISCLAIMER

All information, products, and services are provided “as is” without warranties. Romansa Flowers disclaims all express or implied warranties, including merchantability or fitness for a particular purpose, to the fullest extent permitted by law.

Privacy, Data Protection, and Cookie Policy – Romansa Flower Co W.L.L.

1. Collection and Use of Information

Romansa Flower Co W.L.L. collects and processes information in two categories:

a) Personally Identifiable Information (PII): This includes information you provide when placing an Order, registering an account, or communicating with us, such as your name, email address, phone number, delivery details, and payment information. PII is used to process Orders, deliver Products, communicate with you regarding your Orders, provide customer support, and comply with legal obligations.
